Additional Terms for Expert Teachers

  1. Scope. By registering for or participating in the Expert Teacher Program (defined below), you agree to be bound by these Additional Terms for Expert Teachers (the “Expert Teacher Terms”) and the Uppercase Terms of Service (the “Terms of Service”). The Expert Teacher Terms are incorporated into the Terms of Service.  To the extent that any provision of these Expert Teacher Terms conflict with the Terms of Service, the Expert Teacher Terms will control. All capitalized terms used in these Expert Teacher Terms but not defined herein shall have the respective meanings given to them in the Terms of Service.
  2. The Expert Teacher Program. Uppercase may, in its sole discretion, invite certain individuals who meet the eligibility requirements set forth below, and in the Terms of Service, to participate in the Service as an Expert Teacher, subject to the terms and conditions set forth herein (the “Expert Teacher Program”). Participation is by invitation only.
    1. Eligibility. Individuals may be eligible for the Expert Teacher Program if they are experienced teachers who hold a valid teaching license and have a minimum of eight (8) years of K-5 teaching experience in urban, suburban, or rural environments. We aim to uphold a high level of rigor and are looking for teachers who demonstrate: strong core teaching skills and academic rigor; professional advocacy and leadership; strong interpersonal skills; effective online engagement abilities; and a 21st century teaching philosophy.
  3. Privacy. You understand and agree that your participation in the Expert Teacher Program and all information collected about you in connection with your participation as an Exert Teacher is subject to the Uppercase Privacy Policy.
  4. Registration. To participate in the Expert Teacher Program, you must comply with the following requirements: (i) complete an onboarding survey; (ii) provide a complete and accurate W9 form to Uppercase; (iii) indicate your preferred payment method (i.e., check or e-payment) and provide all information necessary to remit payment, including, if applicable setting up e-payment in accordance with instructions provided to you; (iv) attend a Zoom kick-off call; (v) join the Uppercase Expert Teacher Slack channel (the “Expert Teacher Slack Channel”); and (vi) comply with any other requirements provided by Uppercase during the registration process.
  5. Program Requirements. Subject to your ongoing compliance with these Expert Teacher Terms, the Terms of Service, and the Community Guidelines, you will be eligible for Expert Teacher Program participation payments (“Fees”). Program participation requirements are below:
    1. Contributing Teaching Materials. Post to the forum contained on the Uppercase website located at www.uppercaseteach.com (the “Platform”) at least 4-6 Teaching Materials or Posts per week.
    2. Ongoing Engagement. Log in to your Uppercase account a minimum of 2-3 times per week and/or spend a minimum of 1.5 hours per week on the Platform. When you are logged into the Platform, we encourage you to read content posted by other users, answer other users’ questions, comment on ideas, download Teaching Material that interests you, and otherwise engage with the features of the Service.
    3. Communications. Communicate with Uppercase and the Expert Teacher community by: (i) regularly posting and replying to messages on the Expert Teacher Slack Channel each week; (ii) answering periodic emails and outreach from the Uppercase team, including promptly responding to surveys seeking feedback about the Service and any other products or services provided by Uppercase.
  6. Participation Fees
    1. Fees will only be paid to Expert Teachers who meet the requirements set forth above, as determined in Uppercase’s sole discretion. Fees will be paid on a monthly basis for a period of up to 12 months for aggregate payments of up to $2,500 per year. 
    2. Payment will be sent to the payment method provided by you when you register as an Expert Teacher. You may update your payment settings by contacting support@uppercase.com. It is your responsibility to maintain an active payment method to be eligible to receive Fees. 
    3. Fees paid to you by Uppercase constitutes the full and final remuneration for your participation as an Expert Teacher. Your participation in the Expert Teacher Program does not give rise to any claims, including but not limited to, claims for further payments from Uppercase, and does not constitute an employment relationship between you and Uppercase.
    4. You are responsible for determining all taxes to be paid by you in connection with your receipt of any Fees and to report and remit such taxes to the appropriate tax authority. Uppercase is not obligated to determine whether taxes apply and we are not responsible for collecting or remitting any taxes arising from any Fees you may receive.
  7. Modification and Termination. Uppercase reserves the right to modify or terminate the Expert Teacher Program or the Services, or your participation in the Expert Teacher Program or the Services, at any time, in our sole discretion, for any reason, with or without notice and without liability to you. You understand and agree that if you participate in the Expert Teacher Program after the date on which these Expert Teacher Terms have changes, we will treat your use as acceptance of the updated Expert Teacher Terms. Your breach of any obligation under these Expert Teacher Terms, the Uppercase Terms of Service, or the Community Guidelines may result in your immediate termination from the Expert Teacher Program and as a user of the Service.
  8. Disclaimer of Warranties. YOU HEREBY ACKNOWLEDGE AND AGREE THAT THE EXPERT TEACHER PROGRAM IS PROVIDED BY UPPERCASE ON AN “AS IS” BASIS AND AS AVAILABLE, AND YOUR ACCESS TO, PARTICIPATION IN AND/OR USE OF THE EXPERT TEACHER PROGRAM IS AT YOUR SOLE RISK. TO THE EXTENT PERMITTED BY APPLICABLE LAW, UPPERCASE EXPRESSLY DISCLAIMS ALL AND YOU RECEIVE NO WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THOSE OF MERCHANTABILITY, SATISFACTORY QUALITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. UPPERCASE MAKES NO WARRANTY THAT THE EXPERT TEACHER PROGRAM WILL MEET YOUR REQUIREMENTS AND/OR THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY OR ERROR-FREE, NOR DOES UPPERCASE MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF OR PARTICIPATION IN THE EXPERT TEACHER PROGRAM OR THE ACCURACY OF ANY OTHER INFORMATION OBTAINED THROUGH THE EXPERT TEACHER PROGRAM. YOU UNDERSTAND AND AGREE THAT ANY MATERIAL AND/OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH PARTICIPATION IN THE EXPERT TEACHER PROGRAM OR THE USE OF ANY OF THE SERVICES IS DONE AT YOUR SOLE RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM AND/OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH MATERIAL AND/OR DATA. NO INFORMATION OR ADVICE, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM UPPERCASE OR THROUGH THE EXPERT TEACHER PROGRAM SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES AND CONDITIONS, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. 
  9. Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE UPPERCASE ENTITIES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR ANY OTHER INTANGIBLE LOSS) ARISING OUT OF OR RELATING TO YOUR PARTICIPATION IN THE EXPERT TEACHER PROGRAM, OR ANY OTHER INTERACTIONS WITH UPPERCASE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ANY UPPERCASE ENTITY HAS BEEN INFORMED OF THE POSSIBILITY OF DAMAGE. TO THE EXTENT PERMITTED BY APPLICABLE LAW, UPPERCASE’S MAXIMUM LIABILITY HEREUNDER IS LIMITED TO THE AMOUNT OF FEES PAID TO YOU.
  10. Indemnity. To the fullest extent permitted by law, you are responsible for your participation in the Expert Teacher Program, and you will defend and indemnify the Uppercase Entities from and against every claim brought by a third party, and any related liability, damage, loss, and expense, including attorneys’ fees and costs, arising out of or connected with: (i) your breach of these Expert Teacher Terms, (ii) your participation in the Expert Teacher Program, or (iii) your violation of any portion of these Expert Teacher Terms, any representation, warranty, or agreement referenced in these Expert Teacher Terms, or any applicable law or regulation. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter), and in that case, you agree to cooperate with our defense of those claims. In addition, you agree to indemnify, defend, and hold harmless Uppercase Entities from any claim or investigation relating to or arising from your participation in the Expert Teacher Program.
  11. No Employment Relationship. As an Expert Teacher, you participate in the Expert Teacher Program in your personal capacity as an independent contractor and not as an employee of Uppercase. Nothing in these Expert Teacher Terms shall be interpreted or construed as creating any type of employment relationship, partnership, joint venture, or agency between you and Uppercase. You shall have no authority to make any statements, representations, or commitments of any kind, or to take any action, on behalf of Uppercase.
